This personal guaranty shall be governed by, and construed in accordance with, the laws of the state of Georgia, without regard to principles of conflicts of laws. Guarantor consents to the exclusive personal jurisdiction of the federal courts located in the Southern District of Georgia or the state courts located in Coffee County, GA over any action arising out of or relating to this personal guaranty and waives any objection it may now or hereafter have to venue or to convenience of forum.
